Interim Commercial Counsel

Key Responsibilities: Draft, review, and negotiate a range of commercial agreements (including software licensing, SaaS, NDAs, partnership and procurement agreements). Provide legal support on corporate matters, including share purchase agreements, company structuring, and due diligence during M&A activity. Advise on IP, data protection (GDPR), and technology-related legal issues. Work closely with internal stakeholders including IT, product, marketing, and compliance teams. Help design and improve legal workflows using tech tools (e.g. contract management systems, collaboration platforms). Assist with policy drafting, training, and delivering legal updates to non-legal stakeholders. Ensure compliance with regulatory frameworks across multiple jurisdictions (including UK and EU data privacy standards). Requirements: Qualified solicitor in England & Wales (or equivalent), with at least 7 years’ PQE in corporate and commercial law. Previous in-house legal experience preferred, especially within the technology or innovation sector. Strong understanding of IP, data protection, and commercial tech agreements (e.g. SaaS, software licensing). Confident in advising senior stakeholders and managing competing priorities in a fast-paced environment. Comfortable working remotely, using collaboration tools such as Microsoft Teams, DocuSign, and contract lifecycle management platforms. Experience working on M&A transactions and due diligence processes is highly desirable. A proactive, solutions-oriented approach with excellent communication skills.
