In-House Counsel

Job Responsibilities Assist in and advice on legal, regulatory, corporate governance and compliance related matters for the listed company and its subsidiaries in Singapore and overseas Assist with board and committee meetings and annual general meetings for the listed company (including preparing relevant board papers and drafting minutes of meetings) Prepare, draft and review reporting documents for the listed company including annual report, circulars, public announcements, press releases and regulatory filings Draft, review and negotiate on contracts including sale and purchase agreements, investment agreements, joint venture agreements, non-disclosure agreements, licence agreements, financing and loan documents, operational agreements and intra-group agreements Draft, review and assist with corporate secretarial related documentation for the group companies Draft and review legal and compliance related company and group policies Open to handling other areas of law, where required Interface and collaborate with business teams of the listed company and its subsidiaries Liaise and communicate with regulators and external legal advisers and service providers Undertake legal and other regulatory research, as well as business-related research where applicable Qualifications & Experience Law degree (LLB or equivalent) from a reputable university in Singapore, United Kingdom or Australia Between 1 to 5 years PQE Private practice experience in corporate/capital markets/M&A department and/or in-house corporate experience. Experience working in SGX listed companies and/or familiarity with SGX listing rules would be a strong advantage Competences: Strong understanding of Singapore corporate, commercial laws and listing rules. Draft/ review of contracts including sale and purchase agreements, investment agreements, joint venture agreements, non-disclosure agreements, licence agreements, financing and loan documents, and operational agreements such as supply and distributorship contracts Draft/ review of corporate documents such as board, committee and shareholder resolutions Exposure to intellectual property work an advantage but not a pre-requisite Exposure to cross-border legal work an advantage but not a pre-requisite Excellent analytical, problem-solving and communication skills Reporting Relationships Report directly to the Group General Counsel J-18808-Ljbffr
