This role is fully embedded in the Legal and Compliance department of Elawan Energy and plays a key part in supporting the company’s growth through complex M&A and transactional activities. The M&A Legal Counsel will provide expert legal advice and guidance throughout all phases of M&A processes ensuring compliance and risk mitigation. The position will be actively involved in multiple cross-border transactions, joint ventures, and both buy-side and sell-side deals across various renewable energy technologies (including wind, solar, and storage). The position is part of the Legal area of Elawan Energy's renewable power generation plants globally. Reporting directly to the Chief of Legal and Compliance. Based in the HQs in Madrid. Responsibilities: Legal Due Diligence: Lead and coordinate comprehensive legal due diligence of target companies/projects, identifying potential legal risks and liabilities. Provide precise legal analysis and strategic recommendations to mitigate risks. Transaction Structuring: Advise on legal structuring of transactions, ensuring compliance with applicable laws and alignment with regulatory requirements. Contract Drafting and Review: Prepare, review, and negotiate transactional documents (SPAs, shareholders’ agreements, JV agreements, etc.), ensuring accurate representation of legal terms and protection of the company’s interests. Regulatory Compliance: Navigate and ensure compliance with relevant laws and regulations. Obtain necessary approvals and clearances from regulatory authorities. External Advisor Coordination: Manage and liaise with external legal counsel to ensure consistent legal support. Post-Closing Legal Matters: Oversee post-closing legal issues, ensuring resolution and compliance with contractual and regulatory obligations. Requirements: Education: Law degree mandatory. Other training: additional postgraduate qualifications in M&A, Private Equity, or similar highly valued. Language skills: Native Spanish, advanced English (C1). Other languages (e.g., French, Portuguese) valued. 4–5 years in M&A, corporate law, or related legal departments; prior experience in top-tier law firms is highly valued. Experience in the renewable energy sector or real estate is a plus. Personal skills: Strong technical and analytical legal skills. Detail-oriented, proactive, and results-driven. Excellent organizational and project management abilities; capable of handling multiple priorities independently. Effective communication and negotiation skills; able to convey complex legal issues clearly to diverse stakeholders. Adaptable team player, capable of working independently and collaboratively.
